Our solution

Greenme supported ABE Capital Partners through a dual workstream: on one hand, conducting the ESG due diligence of the Solar Europe acquisition; and on the other, the strategic design of a roadmap to structure a future energy and decarbonization platform, subsequently articulated under EnerPath.

The ESG due diligence enabled an analysis of the main risks and opportunities associated with Solar Europe as an engineering, development, and installation company for photovoltaic solutions. The analysis covered key aspects including environmental management of projects, the supply chain for equipment and components, material quality and traceability, health and safety on installations, supplier relationships, regulatory compliance, internal governance, and the company's capacity to support industrial clients in their energy transition.

Additionally, Greenme contributed a broader strategic perspective: how to convert an initial acquisition into the foundation of a more expansive energy platform, capable of integrating capabilities in self-consumption, energy efficiency, consultancy, monitoring, consumption optimization, and corporate decarbonization, among others.

This approach allowed for the identification of the key levers needed to evolve from a model focused on photovoltaic installation toward a comprehensive energy services offering. The combination of Solar Europe and Grupo Trébol Energía presented a clear opportunity to unite renewable engineering, energy consultancy, digital monitoring capabilities, and a proposition targeted at large consumers.

Greenme's work contributed to structuring this vision around several key areas:

The challenge

The Spanish energy market is undergoing a profound transformation. Regulatory pressure, rising decarbonization targets, energy price volatility, and the need to improve operational efficiency are driving industrial companies and large energy consumers to seek more comprehensive, integrated, and results-oriented energy solutions.

In this context, ABE Capital Partners drove the creation of EnerPath as a comprehensive energy services platform. The investment thesis was built on the combination of complementary capabilities: on one hand, the acquisition of Solar Europe, a company specializing in photovoltaic installations, self-consumption, and renewable solutions; and on the other, the integration of energy efficiency and specialized consultancy capabilities through Grupo Trébol Energía.

The objective was not merely to acquire a photovoltaic installation company, but to build a platform capable of supporting industrial companies and large consumers throughout their entire energy transition journey: from diagnosis and strategy, through engineering, execution, monitoring, optimization, and emissions reduction.

The challenge for the investor was to analyze the transaction from an ESG and strategic perspective, assessing not only the risks associated with the acquisition of Solar Europe, but also the potential to build an energy and decarbonization platform with a differentiated value proposition.

In this type of transaction, ESG due diligence takes on particular relevance. It is not merely about identifying environmental, social, or governance risks, but about understanding how these factors may affect the project's scalability, credibility with industrial clients, capacity to generate positive impact, and value creation potential over the medium and long term.
